Ripple Prime Raises $275M as BBB Rating Supports U.S. Prime Brokerage Expansion

Ripple Prime Closes $275M Senior Notes Offering to Expand U.S. Prime Brokerage Business

August 21, 2026

Ripple Prime has closed a $275 million private placement of senior unsecured notes, giving the company additional capital to expand its U.S. prime brokerage and financial infrastructure business.

The offering, which closed on August 18, was upsized after attracting strong interest from institutional investors. Ripple Prime will use the proceeds for working capital and general corporate purposes within its regulated U.S. business.

The transaction marks another step in Ripple’s effort to build a broader financial infrastructure business that connects traditional markets with digital assets.

Ripple Prime Raises $275 Million

Ripple Prime, Ripple’s non-bank prime brokerage business, issued the senior unsecured notes in a private placement.

The company said the offering attracted a diverse group of institutional investors across major financial markets. Piper Sandler & Co. acted as the lead placement agent.

Ripple Prime plans to use the capital to support its growing U.S. operations. Its business includes multi-asset clearing, prime brokerage and financing services.

The additional funding also gives the company more resources to invest in technology and its workforce as it expands.

Notes Receive Investment-Grade BBB Rating

One of the most notable aspects of the transaction is the credit rating.

KBRA assigned a BBB rating to the senior unsecured debt, placing the notes in investment-grade territory. KBRA had previously assigned a BBB issuer rating to Ripple Prime.

KBRA’s July assessment said Ripple Prime’s business remains in a scaling phase. Its activities include exchange-traded derivatives clearing and intermediation, as well as fixed-income repo operations.

KBRA also pointed to Ripple’s capital support and the potential for greater revenue diversification as Ripple Prime expands into additional businesses.

The rating is significant because Ripple Prime operates at the intersection of traditional finance and digital assets. An investment-grade rating can help position the company for broader institutional participation in its financing activities.

Capital Supports U.S. Expansion

Ripple Prime’s latest financing comes as the company expands its role in U.S. financial markets.

The company provides infrastructure for institutional clients seeking access to clearing, financing and prime brokerage services across multiple asset classes.

Noel Kimmel, President of Ripple Prime, said the successful offering provides another source of capital for investment in the company’s technology and team.

Ripple also said the strong institutional response reflects growing demand for modern financial infrastructure that can support both traditional and digital assets.

Ripple Prime Builds on Traditional Financial Infrastructure

Ripple Prime’s business has roots in Hidden Road, the prime brokerage firm Ripple acquired in 2025. The business now operates under the Ripple Prime name.

The acquisition gave Ripple an established institutional brokerage and clearing platform. Ripple has since been expanding the business across digital assets and traditional financial markets.

KBRA said Ripple Prime’s operating subsidiary is an SEC-registered broker-dealer and CFTC-registered futures commission merchant. It is also a FINRA and SIPC member and a clearing member of CME Group exchanges.

That regulatory and market infrastructure gives Ripple Prime a different position from a typical crypto trading platform.

A Growing Institutional Finance Strategy

The $275 million notes offering also fits into Ripple’s broader strategy.

The company has increasingly focused on services such as payments, custody, liquidity and treasury management. Ripple has also expanded its work around stablecoins and digital capital markets.

Its prime brokerage business adds another layer to that strategy.

Rather than focusing only on blockchain-based payments, Ripple is building infrastructure that can support institutional trading, clearing and financing.

The latest debt offering provides additional balance-sheet capacity as the business scales.

What the Deal Means for Digital Asset Markets

The transaction is notable because it brings a digital-asset-focused company further into traditional credit markets.

Ripple Prime is raising capital through a conventional senior unsecured debt offering. At the same time, it is using that capital to expand infrastructure serving both traditional and digital financial markets.

The BBB investment-grade rating from KBRA adds another important signal. It shows that a major credit-rating agency has assessed Ripple Prime’s credit profile at an investment-grade level.

However, KBRA also highlights risks. Ripple Prime’s earnings remain in an early growth phase, while revenues remain sensitive to financing spreads, balance-sheet size and interest-rate conditions.

Ripple Prime Looks to Scale Further

The latest financing gives Ripple Prime another source of capital as it works to expand its U.S. business.

The company says it plans to invest in technology and its team while responding to institutional demand for multi-asset clearing, prime brokerage and financing.

For Ripple, the development extends its push beyond blockchain payments and into broader financial-market infrastructure.

For institutional investors, the deal highlights the growing overlap between traditional finance and digital assets.

The $275 million offering therefore represents more than a debt raise. It is another step in Ripple’s effort to establish Ripple Prime as a major non-bank provider of institutional financial infrastructure.
